Acceptance of these terms

These Terms of Use (“Terms”) govern your access to and use of peakglobalpartners.com and any related content, services, or features provided through this site (collectively, the “Site”), which is operated by Peak Global Partners, LLC (“PGP,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

Eligibility

The Site is intended for business and government professionals. By using the Site, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms, including, where applicable, on behalf of the organization you represent.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful informational and business-relationship purposes. You agree not to:

• Use the Site in any way that violates applicable law or regulation;

Intellectual property

Subject to your compliance with these Terms, you may view and print individual pages of the Site for personal, non-commercial, internal business reference. Any other use — including reproduction, modification, distribution, public display, or creation of derivative works — requires our prior written consent.

Submissions and feedback

If you submit information through the Site (for example, a consultation request) or provide feedback, suggestions, or ideas about the Site or our services, you grant PGP a worldwide, royalty-free, non-exclusive, perpetual, irrevocable license to use, reproduce, modify, and otherwise exploit that feedback for any lawful business purpose, without obligation to you. You represent that any information or content you submit is accurate, lawful, and does not infringe any third-party rights.

No professional advice

Content on the Site is provided for general informational purposes only. TO THE FULLEST EXTENT PERMITTED BY LAW, PGP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. PGP DOES NOT WARRANT THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PEAK GLOBAL PARTNERS, LLC OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PGP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PGP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Peak Global Partners, LLC, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Site.

Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts. Nothing in these Terms limits PGP’s right to seek injunctive or equitable relief in any court of competent jurisdiction.

Export and sanctions compliance

You agree to comply with all applicable U.S. and international export-control, sanctions, and anti-corruption laws in your use of the Site, including U.S. Export Administration Regulations and U.S. Department of the Treasury Office of Foreign Assets Control (OFAC) regulations.

Changes to the Site or these Terms

We may modify, suspend, or discontinue any portion of the Site at any time without notice. We may also revise these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be communicated through the Site or, where appropriate, by direct notice. Your continued use of the Site following such changes constitutes acceptance of the updated Terms.

Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PGP regarding your use of the Site.
